Welcome to Clica.Bio!

By accessing or using the Service, clicking a button or checking a box with “I Agree” (or similar), you indicate that you have read, understood, and agree to be bound by these Terms and Conditions of Service (this “Agreement”) and to the collection and use of your information as set forth in our Privacy Policy (the “Privacy Policy”), whether or not you are a registered user of the Service.

Clica.Bio reserves the right to modify these terms and will notify you of these changes as described below. This Agreement applies to all visitors, users, and others who access the Service (“Users”).

1. The Clica.Bio Service

1.1 Eligibility

This is an agreement between you and Clica.Bio. You may use the Service only if you can form a binding contract with Clica.Bio and only in compliance with this Agreement and all applicable local, state, national, and international laws and regulations. Any use or access to the Service by anyone under the age of sixteen (16) is strictly prohibited and constitutes a violation of this Agreement. The Service is not available to any user previously removed from the Clica.Bio service. You must read and agree to the terms and conditions of this Agreement before using the Service. If you do not agree, you may not use the Service.

1.2 User Accounts

Your account on the Service (your “User Account”) grants you access to the services and functionalities that we may establish and maintain from time to time and at our sole discretion. We may maintain different types of user accounts for different types of users. If you open a User Account on behalf of a company, organization, or other entity, then: (i) “you” includes you and that entity; and (ii) you represent and warrant that you are an authorized representative of the entity with the authority to bind the entity to this Agreement, and that you agree to this Agreement on behalf of the entity. By connecting to Clica.Bio with a third-party service, you give us permission to access and use your information from that service as permitted by that service, and to store your login credentials for that service.

You may never use another user's account without permission. When creating your User Account, you must provide accurate and complete information and must keep it updated. You are solely responsible for the activity that occurs on your User Account, and you must keep your account password secure. We encourage you to use “strong” passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) in your User Account. You must notify Clica.Bio immediately of any breach of security or unauthorized use of your User Account. Clica.Bio will not be responsible for any losses caused by any unauthorized use of your User Account.

You can control your user profile and how you interact with the Service by changing the settings on your settings page. By providing confirmation of your email address, you consent to our use of the email address to send you notices related to the Service, including any notices required by law, instead of communication by mail. With your consent, we may also use your email address to send you other messages, such as changes to Service features and special offers. If you do not wish to receive these email messages, you can unsubscribe by clicking the unsubscribe link at the bottom of our emails or by emailing [email protected]. Deactivation may prevent you from receiving email messages related to updates, improvements, or offers.

1.3 Service Rules

When using the Service, you agree not to:

• (a) upload or transmit content that is pornographic, threatening, embarrassing, hateful, racially or ethnically offensive, defamatory, or otherwise inappropriate;
• (b) except where expressly permitted, use the Service to engage in spamming, "chain letters," "pyramid schemes," advertising of illegal or controlled products or services, or other advertising or marketing activities that violate this Agreement, the Privacy Policy, or any generally accepted laws, regulations, or guidelines of the advertising or marketing industry;
• (c) use the Service in any way that infringes, violates, or misappropriates any intellectual property or proprietary rights of third parties;
• (d) use the Service in any way that is misleading or fraudulent or otherwise illegal or promotes illegal activities, including engaging in phishing or obtaining other financial or personal information for fraudulent or illegal purposes;
• (e) use the Service in any way that is libelous or defamatory, or that is otherwise threatening, abusive, violent, harassing, malicious, or harmful to any person or entity, or that is invasive of another's privacy;
• (f) use the Service in any way that is harmful to minors in any way;
• (g) use the Service in any way that is hateful or discriminatory based on race, color, gender, gender identity, religion, nationality, ethnic or national origin, marital status, disability, sexual orientation, or age, or that is otherwise objectionable, as reasonably determined by Clica.Bio;
• (h) use the Service in any way that, in our sole discretion, could damage, disable, overburden, or impair it;
• (i) use the Service in any way that constitutes or contains any form of advertising or solicitation to users who have requested not to be contacted about other services, products, or commercial interests;
• (j) attempt to gain unauthorized access to the Service, or any part thereof, other user accounts, computer systems, or networks connected to the Service, or any part thereof, through hacking, password extraction, or any other means, or interfere or attempt to interfere with the proper functioning of the Service or any activities conducted on the Service;
• (k) modify the Service in any way or form, or use modified versions of the Service, including, but not limited to, for the purpose of obtaining unauthorized access to the Service;
• (l) use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission, or bypass any measures we may use to prevent or restrict access to the Service;
• (m) impersonate another person or access another user's User Account without that user's permission or violate any contractual or fiduciary relationships;
• (n) share passwords issued by Clica.Bio with third parties or encourage any other user to do so;
• (o) modify, adapt, translate, or create derivative works based on the Service;
• (p) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Service, except and only to the extent that such activity is expressly permitted by applicable law, notwithstanding this limitation;
• (q) rent, lease, lend, resell, sublicense, distribute, or otherwise transfer the Service to third parties; provide time-sharing or similar services for third parties; or use the Service for any purpose other than your own internal business use;
• (r) remove, circumvent, disable, damage, or otherwise interfere with the security-related features of the Service, features that prevent or restrict the use or copying of any content accessible through the Service, or features that impose limitations on the use of the Service;
• (s) access the Service if you are a direct competitor of Clica.Bio, except with Clica.Bio's prior written consent, or for any other competitive purposes; or
• (t) except as permitted by the features of the Service, collect or harvest any personally identifiable information, including account names, from the Service.

If you violate any provision of this Agreement, we may, without notice, stop providing the Service or Service resources or create usage limits. We may also terminate or suspend your access to the Service permanently or temporarily without notice.

2. User Content

We claim no ownership rights over User Content created by you. The User Content you create remains yours. Clica.Bio is not responsible and assumes no liability for any User Content that you or any other user submits, provides, or otherwise makes available on the Service. You will be solely responsible for your User Content and the consequences of submitting, providing, or otherwise making it available on the Service, and you agree that we are acting only as a passive channel for your online distribution and publication.

3. Our Proprietary Rights

You may choose or we may invite you to submit comments or ideas about the Service, including, without limitation, how to improve the Service or our products (“Ideas”). By submitting any Idea, you agree that your disclosure is gratuitous, unsolicited, and without restriction and will not place Clica.Bio under any fiduciary or other obligation, and that we are free to use the Idea without any additional compensation to you, and/or to disclose the Idea on a non-confidential basis or to anyone. You also acknowledge that, by accepting your submission, Clica.Bio does not waive any rights to use similar or related ideas previously known to Clica.Bio or developed by its employees, or obtained from sources other than you.

4. Subscription

4.1 Continuous Subscription Services; Automatic Billing and Policies.

Unless otherwise provided in an Order Document, all purchases for access and use of the Service are made on an automatically renewing subscription basis. YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF YOUR SUBSCRIPTION TERM IDENTIFIED IN YOUR ORDER DOCUMENT FOR SUBSEQUENT TERMS EQUAL IN LENGTH TO THE INITIAL SUBSCRIPTION TERM (EACH, A “SUBSCRIPTION TERM”) UNLESS AND UNTIL YOU CANCEL YOUR SUBSCRIPTION IN ACCORDANCE WITH THE CANCELLATION PROCEDURES IDENTIFIED IN SECTION 4.2 OF THIS AGREEMENT. By purchasing the Service, you expressly acknowledge and agree that: (1) Clica.Bio is authorized to charge you, at the beginning of each Subscription Term, the Fees identified in an Order Document, any applicable taxes, and any other charges you may incur in connection with your use of the Service, as long as your subscription continues; and (2) your subscription is continuous until you cancel it or the Service is suspended, discontinued, or terminated in accordance with this Agreement. You acknowledge and agree that the amount charged may vary due to promotional offers, changes in your subscription plan, changes in applicable taxes, and other charges you may incur in connection with your use of the Service.

4.2 Cancellation; Refunds

To cancel your User Account or the services, you must notify us before the start of the next subscription period by contacting us or canceling within your user panel in settings. You may cancel your User Account or the services at your sole discretion; however, the Service grants refunds for cancellation at its sole discretion, and you acknowledge and agree that you may not be refunded any fees for canceling your User Account and the services. In the event that Clica.Bio suspends or terminates your User Account or this Agreement due to your breach of this Agreement, you understand and agree that you will not receive any refund or exchange for any unused time on a subscription, any licenses or subscription fees for any portion of the Service, any content or data associated with your User Account, or for anything else.

4.3 Payment Information

We or our third-party payment processors will charge your fees and any other charges you may incur to the payment method you provided when registering for a User Account or identified in an Order Document. All information you provide in connection with a purchase or transaction or other monetary transaction interaction with the Service must be accurate, complete, and current. You agree to pay all charges incurred by users of your credit card, debit card, or other payment method used in connection with a purchase or transaction or other monetary transaction interaction with the Service at the prices in effect when such charges are incurred. If we are unable to charge your payment method and have not yet received payment, we may (without liability to you) temporarily suspend or deactivate all or part of your access to the Service and will be under no obligation to provide any or all of the Service while the Fees in question remain unpaid. This does not affect any other rights and remedies available to us. You will pay any and all applicable taxes, if any, relating to such payments of Fees, purchases, transactions, or other monetary transactions. 5. Security

Clica.Bio will maintain commercially reasonable physical, administrative, and technical safeguards to preserve the integrity and security of Customer Data and implement your privacy settings. However, we cannot guarantee that unauthorized third parties will never be able to breach our security measures or use your personal information for improper purposes. You acknowledge that you provide or allow access to Customer Data at your own risk.

6. Third-Party Links and Information

The Service may contain links to third-party materials that are not owned or controlled by Clica.Bio. Clica.Bio does not endorse or assume any responsibility for any third-party websites, information, materials, products, or services. You expressly release Clica.Bio from any and all liability arising from your use of any third-party website, service, or content. In addition, your dealings or participation in promotions of advertisers found on the Service, including payment and delivery of goods, and any other terms (such as warranties) are solely between you and such advertisers. You agree that Clica.Bio will not be responsible for any loss or damage of any kind relating to your dealings with such advertisers.

7. General

7.1 Assignment

This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Clica.Bio without restriction. Any attempted transfer or assignment in violation hereof will be null and void.

7.2 Notification and Changes to the Terms of Service

Clica.Bio may provide notifications, whether these notifications are required by law or for marketing or other business-related purposes, to you through email notification, written or printed notification, or through the publication of such notification on our website, as determined by Clica.Bio in its sole discretion. Clica.Bio reserves the right to determine the form and means of providing notifications to our users, provided that you may opt out of certain means of notification as described in this Agreement. Clica.Bio is not responsible for any automatic filtering that you or your network provider may apply to email notifications that we send to the email address you provide to us. Clica.Bio may, at its sole discretion, modify or update these Terms of Service from time to time, so you should review this page periodically. When we change the agreement in a material way, we will update the 'last updated' date at the bottom of this page and notify you that material changes have been made. Your continued use of the Service after any such change constitutes your acceptance of the updated Terms of Service. If you do not agree to any of these terms or any future terms, do not use or access (or continue to access) the Service.
